Kolva Vendor Agreement
1. Introduction
Welcome to Kolva. This Vendor Agreement governs the relationship between Kolva and every Vendor that lists, advertises, or sells products through the Kolva marketplace. By creating a Vendor Account, accepting this Agreement electronically, or using Vendor Services, you agree to comply with this Agreement, related marketplace policies, and future amendments. If you do not agree, you must not register as a Vendor or continue using Vendor Services.
2. About Kolva
Kolva is a Nigerian e-commerce marketplace connecting customers with independent vendors. Except where expressly stated otherwise, Kolva is not the owner, manufacturer, importer, or producer of products listed by vendors. Kolva provides technology, marketplace services, payment facilitation where applicable, customer support, dispute management, and related operational services.
3. Eligibility
To become a Vendor, you must be at least 18 years old, have legal capacity, provide accurate registration information, complete required identity verification, provide a valid Nigerian bank account, and comply with Nigerian laws and regulations. Kolva may refuse, suspend, or terminate vendor applications where necessary to protect customers or the marketplace.
4. Vendor Account
You are responsible for maintaining accurate account information, protecting login credentials, ensuring only authorized persons access your account, and promptly updating business information. You remain responsible for all activities performed through your Vendor Account.
5. Product Listings
Every listing must accurately describe the product, use genuine photographs where possible, include correct specifications, clearly state the selling price, disclose material defects where applicable, and comply with Kolva Marketplace Standards. Listings must not contain misleading or deceptive information.
6. Inventory Accuracy
You agree to maintain accurate inventory information. Products marked as available should be available for fulfillment. Repeatedly confirming unavailable products may result in listing restrictions, account warnings, temporary suspension, or permanent removal from Kolva.
7. Order Confirmation
When a customer places an order, Kolva will notify the Vendor. The Vendor must confirm whether each ordered item is Available or Out of Stock as quickly as reasonably possible. Providing false confirmations violates this Agreement.
8. Order Fulfillment
Once an item has been confirmed as available, the Vendor agrees to prepare it, package it securely, ensure it matches the listing, and make it ready for shipment. The Vendor must hand over confirmed orders to Kolva or a designated delivery partner within two (2) business days, unless a shorter period applies or another timeline has been agreed in writing by Kolva.
9. Product Quality
Vendors are responsible for ensuring that products are genuine, safe where applicable, match their descriptions, comply with Nigerian law, and are suitable for sale. Kolva may remove listings that fail to meet these standards.
10. Pricing
Vendors are responsible for setting their own prices. Kolva may reject or temporarily hide listings where pricing appears fraudulent, misleading, or the result of obvious system errors.
11. Payments
Where a customer pays through Kolva, payment is received by Kolva in accordance with the Payment Protection & Settlement Policy. Vendor settlements are made according to that Policy. Acceptance of this Agreement constitutes acceptance of the Payment Protection & Settlement Policy.
12. Vendor Responsibilities
The Vendor agrees to act honestly, respond promptly to order notifications, maintain accurate inventory, communicate professionally, avoid misleading customers, cooperate during disputes, and comply with Kolva policies.
13. Customer Communication
Vendors must communicate respectfully with customers. Harassment, threats, abusive language, discrimination, or attempts to bypass Kolva marketplace rules may result in suspension.
14. Returns & Refunds
Returns and refunds shall be handled according to Kolva's Returns, Refunds & Dispute Resolution Policy. Vendors agree to cooperate with investigations relating to returned items.
15. Dispute Resolution
Where a dispute arises, Kolva may request evidence including photographs, videos, delivery confirmations, receipts, communication records, and other relevant documentation. Kolva will review available evidence and make decisions according to its published policies.
16. Vendor Suspension
Kolva may suspend a Vendor where there is evidence of fraud, counterfeit goods, repeated stock inaccuracies, abusive conduct, policy violations, illegal products, or activities that place customers or the marketplace at risk. Suspension may be temporary or permanent.
17. Intellectual Property
Vendors confirm they have the right to use all images, trademarks, logos, and content uploaded to Kolva and remain responsible for infringement claims arising from materials they provide.
18. Limitation of Liability
Kolva provides the marketplace platform but does not guarantee uninterrupted service, specific sales volumes, customer purchasing decisions, or vendor profitability. Nothing in this Agreement excludes liability where prohibited by applicable law.
19. Changes to this Agreement
Kolva may update this Agreement from time to time. Material changes will be notified, assigned a new version number, and may require renewed acceptance. Previous versions will remain archived.
20. Governing Law
This Agreement shall be governed by the laws of the Federal Republic of Nigeria. Disputes that cannot be resolved internally shall be handled by courts of competent jurisdiction within Nigeria.
21. Electronic Acceptance
By selecting I Agree, electronically signing, or otherwise accepting this Agreement through Kolva, you acknowledge that you have read, understood, and voluntarily agree to be bound by it. Electronic acceptance has the same legal effect as a handwritten signature, subject to applicable Nigerian law.
